Terms of Service Effective date: April 1, 2026 These Terms of Service ("Terms") govern your use of the Ifade application ("the App") and the website ifade.io (together, "the Service"), provided by Ifade Developer, an independent developer ("we", "us", "our"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. ------------------------------------------------------------ 1. The Service ------------------------------------------------------------ Ifade is a local-first Markdown knowledge base for macOS. All content you create or import is stored on your own device. We do not host, back up, or process your content. See our Privacy Policy for details. ------------------------------------------------------------ 2. License ------------------------------------------------------------ Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for personal or internal business use. You may not: - Copy, modify, translate, or create derivative works of the App, except as permitted by applicable law - Reverse engineer, decompile, or disassemble the App, except where such activity is expressly permitted by applicable law - Remove or alter copyright, trademark, or other proprietary notices - Sublicense, rent, lease, sell, or redistribute the App - Use the App to violate any applicable law or the rights of others ------------------------------------------------------------ 3. Beta / Pre-Release Software ------------------------------------------------------------ The App is currently offered free of charge during a beta period. Beta software may contain bugs, may change without notice, and may be discontinued at any time. You are responsible for backing up your own files. Paid plans are not yet available; any pricing displayed on the website is preview information and is not a binding offer. ------------------------------------------------------------ 4. Your Content ------------------------------------------------------------ You retain all rights to the content you create or import into Ifade. We do not claim any ownership of your notes, files, or other materials. Because we do not transmit or store your content on our servers, no content license is granted to us. You are solely responsible for the legality of the content you create, store, or process with the App. ------------------------------------------------------------ 5. Updates ------------------------------------------------------------ The App may check for, download, and install updates. Updates may add, modify, or remove features. These Terms apply to all updated versions unless a separate license is provided with a particular update. You may disable update checks in the App's settings. Update files are delivered from third-party object storage (Cloudflare R2 / Amazon S3-compatible). The storage provider's terms govern the delivery of those files; we are not responsible for outages or interruptions of those underlying services. ------------------------------------------------------------ 6. Third-Party Services and Files ------------------------------------------------------------ You may choose to sync your .ifade packages using third-party tools (iCloud Drive, Dropbox, Git providers, etc.) or share content with third-party agents (such as Claude, Cursor, or other tools). Those services are operated by third parties under their own terms. We are not a party to and not responsible for those services or how they handle your files. ------------------------------------------------------------ 7. Disclaimer of Warranties ------------------------------------------------------------ THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK. You are responsible for maintaining your own backups of any data created with the App. ------------------------------------------------------------ 8. Limitation of Liability ------------------------------------------------------------ TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IFADE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50. Some jurisdictions do not allow certain limitations; in that case the limitations apply to the fullest extent permitted by law and do not affect your statutory consumer rights. ------------------------------------------------------------ 9. Indemnification ------------------------------------------------------------ You agree to indemnify and hold harmless Ifade Developer from any claim or demand arising out of your use of the Service in violation of these Terms or any applicable law. ------------------------------------------------------------ 10. Termination ------------------------------------------------------------ You may stop using the Service at any time. We may suspend or terminate the Service, or your right to use it, at any time, with or without notice, for any reason, including if we discontinue the App. On termination, sections that by their nature should survive (e.g., disclaimers, limitation of liability, governing law) will remain in effect. ------------------------------------------------------------ 11. Governing Law and Disputes ------------------------------------------------------------ These Terms are governed by general principles of international software licensing and the law of the jurisdiction where Ifade Developer is established, without regard to conflict-of-laws rules. Nothing in these Terms limits any non-waivable rights you have under the mandatory consumer laws of your country of residence. The parties will first try in good faith to resolve any dispute by contacting app@ifade.io. If a dispute cannot be resolved informally, it will be resolved by the competent courts of the jurisdiction where Ifade Developer is established, except where applicable consumer law gives you the right to bring a claim in your local courts. ------------------------------------------------------------ 12. Changes to These Terms ------------------------------------------------------------ We may update these Terms from time to time. The "Effective date" above will be revised when we do. Material changes will be communicated through the App or the website before they take effect.
